Terms of Service
1. Parties and acceptance
These terms form an agreement between S2Kernel S.à r.l. («SyncMage», «we»), which operates the service at syncmage.com, and you. By creating an account or using the service you accept these terms and the Privacy Policy.
2. The service
SyncMage is a web application that lets you connect cloud storage and e-mail accounts and copy, sync, back up and manage files across them. SyncMage is not a storage provider: your files stay in the accounts you connect, not with us.
3. Development status
The service is under development and public sign-ups are not open. During this period features may change, interruptions may occur and functionality may be withdrawn without notice. Always keep an independent backup of data that matters to you.
4. Your account
- You must be over 18 and provide accurate information.
- You are responsible for keeping your credentials confidential; we recommend enabling two-factor authentication.
- You are responsible for activity in your account. Tell us immediately if you notice unauthorised access.
- If you share access with others through sub-accounts, you are responsible for their use as well.
5. Accounts you connect
- Connecting a cloud account authorises SyncMage to act in that account on your behalf, only for the features you start.
- You confirm that you are entitled to access the accounts you connect and hold the necessary permissions.
- Each provider's own terms, quotas and rate limits apply. A provider changing its API, throttling requests or restricting your account is outside our control.
- You can withdraw the authorisation at any time, from the application or from the provider's own security settings.
6. Acceptable use
You may not use the service to:
- Move, copy or share content you have no right to, or infringe copyright, trademarks or other intellectual property rights.
- Store or transfer unlawful content, malware or child sexual abuse material.
- Overload the service, our infrastructure or connected providers, or attempt to circumvent rate limits, quotas or security measures.
- Access anyone else's account without permission, or attempt to breach our systems.
- Reverse engineer the service to replicate it, or resell it without permission.
- Send spam or run phishing or fraud schemes.
7. Your content
The files you move are yours and we claim no ownership over them. You grant us only the technical permission needed to perform what you ask: to read, write, move and temporarily buffer them. We do not share your content with anyone except where the law requires it — see the Privacy Policy.
8. Fees and subscriptions
When paid plans open, prices, quotas and renewal terms will be published on the pricing page in the application. Subscriptions renew automatically at the end of each period until cancelled; cancellation takes effect at the end of the current period. Statutory withdrawal rights for consumers are unaffected. Payments are collected through a payment provider; your card details never reach us. Paid plans are not open at the moment; when they are, this section will be updated with prices, quotas and refund terms, and the change will be announced by e-mail to your account address.
9. Availability
We aim to keep the service running continuously but do not guarantee it. Maintenance, updates, provider outages or force majeure may interrupt it. We try to announce planned maintenance in advance.
10. Disclaimer of warranties
The service is provided «as is». We give no implied warranty of fitness for a particular purpose, uninterrupted or error-free operation, or any particular transfer speed. Verifying that a transfer completed, and keeping an independent backup of important data, is your responsibility.
11. Limitation of liability
To the extent permitted by law, we are not liable for indirect damages, lost profits, lost data or business interruption. In any case our total liability is limited to the amount you paid us in the 12 months before the claim arose; for free use that amount is zero. Consumer rights, and liability for intent or gross negligence, are unaffected.
12. Suspension and termination
You may delete your account at any time; the procedure is described in the Privacy Policy. We may suspend or close an account that breaches these terms, is used unlawfully or harms our infrastructure, giving notice where we can. Closing an account never touches the files in your connected clouds.
13. Changes
When these terms change, the date at the top changes with them; material changes are announced by e-mail. Continuing to use the service after a change means you accept the new terms.
14. Governing law
These terms are governed by the laws of [governing law]. The courts of [venue] have jurisdiction. If you use the service as a consumer, your right to bring a claim before the consumer arbitration committee or courts where you live is unaffected.
15. Copyright complaints
SyncMage does not review what users move or share. If a share link or anything else on the service infringes your rights, write to [email protected] with your contact details, the work concerned, the address of the material, a statement that you believe in good faith the use is unauthorised, a statement under penalty of perjury that your notice is accurate and that you act for the rights holder, and your signature. We disable access to the material and tell the user who shared it, who may send a counter-notice. Accounts of repeat infringers are closed.
